These Terms of Service govern your use of all Personomics services, including health coaching, concierge programs, and integrative health lab testing. Please read them carefully alongside our Privacy Policy, HIPAA Notice of Privacy Practices, Lab & Diagnostic Consent, and Consumer Health Data Privacy Policy.

1. TERMS OF USE

1.1 Scope

These Terms of Use govern your access to and use of:

-Our website at personomics.io and any related sites that link to these Terms (the "Site")

-Any Personomics mobile or tablet applications (the "Apps")

-Any digital portals, coaching platforms, assessments, membership programs, integrative health lab services, or other online services that link to these Terms (collectively with the Site and Apps, the "Services")

The Services are owned and operated by Personomics LLC ("Personomics," "we," "us," or "our"). The Services are offered subject to your acceptance, without modification, of this Agreement and all other operating rules, policies, and procedures that we may publish from time to time, including our Privacy Policy, HIPAA Notice of Privacy Practices, and Lab & Diagnostic Consent Form (collectively, the "Agreement").

1.2 Acceptance of Terms and Age Restriction

If these terms and conditions are considered an offer by Personomics, acceptance is expressly limited to these terms. The Services are intended for individuals at least 16 years of age (and at least 18 years of age for lab testing services). By using the Services, you represent and warrant that you:

Meet the applicable age requirement for the Services you are accessing

Have the legal capacity to enter into this Agreement; or

Are using the Services under the supervision of a parent or legal guardian who agrees to be bound by this Agreement on your behalf as a condition of your use of the Services

If you do not consent to the terms of this Agreement, permission to use the Services is denied and you must cease using the Services immediately.

2. UPDATES TO THE TERMS

We may modify this Agreement, including our Privacy Policy, from time to time in our sole discretion.

When we make material changes, we will provide notice which binds you to new terms by, for example:

Updating the "Effective Date" above

Sending you an email; and/or

Posting a notice on the Services

Any changes to the terms become effective when posted, unless otherwise stated. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Agreement terms.

3. USE OF OUR SERVICES

3.1 Representations

When you use the Services, you agree to provide information that is accurate, current, and complete, and you agree to keep such information up to date.

Subject to this Agreement, Personomics grants you a limited, revocable, non-transferable, non-exclusive license to access and use the Services via your internet browser (for the Site), or on your mobile device (for the Apps), solely for your personal, non-commercial use, including viewing content, purchasing products (such as books, digital resources, and related offerings), accessing coaching, assessments, lab services, or other services offered by Personomics.

Any breach of this Agreement will immediately terminate the license granted in this section without notice.

3.2 Limitations on Use

Except as expressly permitted in this Agreement or in writing by Personomics, you may not:

-Reproduce, distribute, display, sell, lease, transmit, create derivative works from, translate, modify, reverse engineer, disassemble, decompile, or otherwise exploit the Services or any portion thereof:

-Make any commercial use of information provided on the Services, or use the Services for the benefit of another business, without our prior written consent

-Circumvent, disable, or interfere with any security-related features of the Services.

We reserve the right, in our sole discretion, to refuse service, terminate accounts, cancel orders, and/or restrict access if we believe your conduct violates applicable laws, this Agreement, or our interests or those of other users.

3.3 Prohibition on Transmitting Sensitive Information

When communicating with us by email or via forms on the Services, do not send:

-Protected health information (PHI) as defined by HIPAA through unsecured channels

-Medical prescriptions

-Detailed information relating to diagnosis or treatment of medical conditions; or

-Other highly sensitive personal data

Personomics does not intend to receive, store, or process sensitive medical information through general contact forms or email. For any questions about your health or medical treatment, always consult a licensed healthcare professional. For secure sharing of health information related to your coaching program or lab services, use only the secure portals and channels we designate for that purpose.

3.4 Prohibited Behavior

As a condition of using the Services, you agree not to:

-Use the Services for any unlawful purpose or in violation of any applicable law

-Engage in conduct that restricts or inhibits any other person's use or enjoyment of the Services or that we reasonably deem harmful, abusive, or objectionable

-Use the Services in any manner that could disable, overburden, damage, or impair the Services

-Use any robot, spider, scraper, or other automated means to access the Services for any purpose

-Use the Services to send unsolicited promotional or commercial content or spam

-Attempt to interfere with the proper working of the Services

4. TERMINATION

Access to certain Services — specifically integrative health lab testing — is restricted based on your geographic location. These restrictions are determined by applicable law and our lab partner EquiLife's policies:

New York State: New York State law permanently prohibits the shipment of lab products to New York State residents. Lab services are not available if you reside in New York State

Washington State: Lab services are currently suspended for Washington State residents. This suspension is temporary and subject to change. Coaching services remain available to Washington State residents

International: Lab services are available internationally only to residents of Australia, Canada, New Zealand, and the United Kingdom. Lab services are not available to residents of any other country. A valid street address is required — we are unable to deliver to international P.O. Boxes

By using our lab services, you confirm that you do not reside in a restricted jurisdiction. Personomics reserves the right to cancel any lab order placed by a resident of a restricted jurisdiction and will issue a full refund in such cases.

5. Lab & Diagnostic Services

Integrative health lab testing offered through Personomics is facilitated and fulfilled by EquiLife (equi.life), our sister company and lab partner. EquiLife works with accredited third-party laboratory providers to process specimens and deliver results. By ordering lab services through Personomics, you acknowledge that your order, specimen, and results will be handled by EquiLife and their laboratory partners in accordance with their applicable terms, lab instructions, and our Lab & Diagnostic Consent Form at personomics.io/labconsent.

5.2 Informed Consent Required

Before accessing lab services through Personomics, you must review and consent to our Lab & Diagnostic Consent Form (personomics.io/labconsent). Your consent is obtained at checkout via checkbox acknowledgment and is recorded with your account. By proceeding with a lab order, you confirm that you have read, understood, and consented to the terms of the Lab & Diagnostic Consent Form.

5.3 No Medical Advice from Lab Services

Lab results provided through Personomics and EquiLife are for informational and wellness education purposes only. They do not:

-Constitute medical advice, diagnosis, or treatment of any medical condition

-Create a physician-patient or other licensed healthcare provider relationship

-Serve as a substitute for professional medical care

You are solely responsible for your healthcare decisions based on your results. Always consult a licensed healthcare provider before making changes to your medications, treatments, supplements, or diet based on lab results. If you believe you are experiencing a medical emergency, call 911 or your local emergency number immediately.

5.4 Critical and Abnormal Results

Critical or abnormal lab results will be flagged in your results report. You assume responsibility for taking appropriate action regarding flagged results, including promptly consulting your primary care provider or another qualified healthcare professional. Personomics and EquiLife are not responsible for any harm resulting from your failure to seek appropriate medical care following receipt of your results.

5.5 Lab Test Expiration & Sample Requirements

All lab tests expire within six (6) months of purchase date

You must collect and return your sample within 14 days of receiving your test kit

The name used to purchase your lab test must exactly match the name submitted on your sample. If the test is being completed by someone other than the purchaser, you must notify us at [email protected] in advance.

Personomics and EquiLife are not responsible for results delayed or invalidated due to improper collection, packaging, or late return of samples.

5.6 Lab Refund & Cancellation Policy

Lab test orders may be cancelled and fully refunded if cancelled before your kit has shipped. Once a kit has shipped, refunds are not available unless the kit is defective or confirmed lost in transit.

6. Termination

We may, at any time and in our sole discretion, suspend or terminate:

Your account; and/or

Your access to all or any part of the Services, with or without cause, with or without notice, effective immediately

You may terminate this Agreement by discontinuing use of the Services and, if applicable, closing your account by contacting us at [email protected].

7. Privacy Policy & HIPAA

Your privacy is important to us. When you use the Services, you may be asked to provide personal information (such as name, email address, billing/shipping details, or information related to coaching, assessments, or lab services).

By using the Services, you consent to the collection, use, and sharing of your information as described in our:

Please review all applicable policies carefully to understand how we handle your personal and health information, how to update your preferences, and how we use cookies and similar technologies.

8. Medical & Wellness Disclaimer

The content provided through the Services — including articles, videos, podcast episodes, workshops, courses, assessments, recommendations, lab-related education, or any written or spoken material (collectively, "Content") — is educational and informational in nature.

The Content:

Does not constitute medical, psychological, or other professional healthcare advice, diagnosis, or treatment

Does not create a doctor-patient, therapist-patient, coach-client, or other professional relationship

Is not a substitute for in-person medical care or individualized treatment advice from a licensed healthcare provider

You are solely responsible for your own healthcare decisions. Always consult an appropriately licensed healthcare professional (such as a physician, psychologist, or other licensed provider) for:

Any questions about a medical condition

Before starting, stopping, or changing any medication, supplement, or treatment plan; or if you suspect you may have a medical or psychological condition

If you believe you may be experiencing a medical emergency, call 911 or your local emergency number immediately.

Even if Content references clinical studies, professional credentials, or health-related outcomes, it is provided solely for education and not as a specific treatment recommendation for any individual.

9. Errors

We strive to provide accurate information regarding products, services, pricing, and availability. However, errors may occur, including typographical errors, inaccuracies, or omissions.

We reserve the right to:

Correct any errors, inaccuracies, or omissions

Change or update information; and/or

Cancel orders if any information on the Services is inaccurate at any time, without prior notice (including after you have submitted your order)

If your order is canceled, we will notify you using the contact information you provided and process any applicable refund.

10. Reviews, Comments, and Submissions

10.1 Submissions to the Services

Anything that you submit or post to the Services or otherwise provide to Personomics — including ideas, feedback, questions, reviews, testimonials, comments, images, videos, or other materials ("Submissions") — will be treated as non-confidential and non-proprietary (except as otherwise described in our Privacy Policy).

By providing a Submission, you:

Grant Personomics a royalty-free, worldwide, perpetual, irrevocable, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, display, and otherwise exploit such Submission in any media now known or later developed; and Represent and warrant that you own or otherwise control all rights to your Submission and that its use by Personomics does not infringe any third-party rights.

We are under no obligation to use, display, or maintain your Submissions and may remove them at any time in our sole discretion.

10.2 Right to Refuse or Remove Content

Without limiting the foregoing, Personomics may, in its sole discretion:

Refuse to post or remove any content that violates this Agreement or that we consider harmful, offensive, or otherwise objectionable; and terminate or deny access to the Services to any individual or entity for any reason, without obligation to provide a refund of any amounts previously paid.

11. Responsibility of Website Visitors

11.1 No Endorsement of User Materials

We do not routinely pre-screen content posted by users or third parties on or through the Services. By operating the Services, Personomics does not endorse, approve, or make any representation regarding:

User-submitted content

Third-party materials; or

The accuracy, reliability, or safety of such content

11.2 Your Responsibility for Security

You are responsible for taking reasonable precautions to protect your devices and data from viruses, malware, and other harmful or destructive content.

The Services may contain content that some users may find offensive, inaccurate, misleading, or otherwise objectionable, and technical inaccuracies or typographical errors. We are not responsible for any harm resulting from your use of or reliance on content available via the Services.

11.3 Acknowledgment of No Medical Advice

You acknowledge and agree that:

Any health- or wellness-related information on the Services is general in nature and is not tailored to you.

You should not rely on such information to make medical decisions or to diagnose or treat any health condition; and you are encouraged to consult your healthcare provider before making any significant changes to your diet, exercise routine, supplements, or other aspects of your health.

12. Coaching, Memberships & Professional Programs

From time to time, Personomics may offer:

Coaching programs (including concierge or 1:1 coaching)

Group programs, courses, or memberships; and/or

Professional or referral programs for practitioners or partners

12.1 Membership Billing & Subscription Terms

If you enroll in a subscription-based coaching program or membership, the following terms apply:

Your membership fee will be charged to your payment method on a recurring basis (monthly or annually, as selected at enrollment)

By enrolling, you authorize Personomics to securely store your payment method and charge it automatically in accordance with your selected billing cycle.

You represent that your payment information is accurate and complete and that you are authorized to use the payment method provided.

If we are unable to charge your payment method for any reason, we reserve the right to suspend or cancel your membership.

12.2 Cancellation Policy

You may cancel your membership or coaching program at any time by contacting [email protected] or through your account portal.

Cancellation requests must be received at least 48 hours before your next scheduled billing date to avoid being charged for the next billing period.

Upon cancellation, you will retain access to your program through the end of your current paid period. No prorated refunds will be issued for unused time within a current billing period, unless otherwise stated in a program-specific agreement.

Personomics reserves the right to cancel or suspend your membership at any time for violation of these Terms, with or without notice.

12.3 Refund Policy

All membership and coaching program fees are non-refundable except as expressly stated in a program-specific agreement or as required by applicable law

If you cancel prior to your first coaching call of your initial purchase and have not accessed any coaching sessions or lab services, you may be eligible for a full refund. Contact [email protected] to request a refund within this window

12.4 Non-Clinical Nature of Coaching Services

Personomics health coaches are not licensed medical professionals. Coaching services provided by Personomics are educational and supportive in nature and do not constitute medical advice, diagnosis, or treatment, do not create a physician-patient or other licensed healthcare provider relationship, and are not a substitute for care from a licensed healthcare provider.

Details regarding eligibility, pricing, participation, cancellation, and any program-specific rules may be provided in separate terms and conditions or in program-specific agreements. To the extent there is a conflict between this Agreement and such program-specific terms, the program-specific terms will govern for that program.

13. AI-Powered Tools & Features

The Services may incorporate AI-powered tools to assist with coaching support, health insights, customer service, and other features. By using the Services, you acknowledge and agree that:

AI-generated content, recommendations, and insights are for informational and educational purposes only and do not constitute medical advice.

AI tools used within the Services may analyze your communications and health data to help us provide more personalized support, consistent with our Privacy Policy and HIPAA Notice of Privacy Practices.

You should not rely on AI-generated responses as a substitute for professional medical, psychological, or other healthcare advice

If any AI-generated response conflicts with advice from your licensed healthcare provider, follow your provider's advice.

14. Content Posted on Other Websites

The Services may contain links to third-party websites, services, or resources that are not owned or controlled by Personomics.

We:

Have no control over the content, policies, or practices of third-party sites or services

Do not endorse or adopt any third-party content; and

Are not responsible for any harm arising from your use of third-party sites or resources

You are responsible for reviewing the applicable terms and privacy policies of any third-party sites or services you visit.

15. Copyright Infringement and DMCA Policy

We respect the intellectual property rights of others and expect users of the Services to do the same.

If you believe that material on the Services infringes your copyright and you seek its removal, you must submit a notice under the Digital Millennium Copyright Act ("DMCA") by emailing us at [email protected] with the subject line: "DMCA Notice."

Your notice must include:

Identification of the copyrighted work you claim has been infringed

Identification of the material on the Services that you claim is infringing, including the URL or other specific location

Your full legal name, company (if applicable), mailing address, telephone number, and email address; and

The following statement, followed by your physical or electronic signature: "I hereby attest that the information in this Notice is accurate and, under penalty of perjury, that I am the owner, or authorized to act on behalf of the owner, of the copyright or of an exclusive right under the copyright that is allegedly infringed."

Upon receipt of a valid DMCA notice, we may remove or disable access to the allegedly infringing material and may terminate repeat violators where appropriate.

16. Intellectual Property

All content and materials available on or through the Services — including text, graphics, logos, icons, images, audio clips, video clips, digital downloads, data compilations, software, and the overall look and feel of the Services — are the property of Personomics or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Without our prior written permission, you may not use any Personomics trademarks, logos, or brand elements, or copy, reproduce, modify, distribute, or publicly display any content from the Services, except as expressly permitted by this Agreement.

All rights not expressly granted in this Agreement are reserved by Personomics.

17. Disclaimer of Warranties

THE SERVICES (INCLUDING ALL CONTENT, PRODUCTS, AND FEATURES) ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, PERSONOMICS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: WARRANTIES OF MERCHANTABILITY; FITNESS FOR A PARTICULAR PURPOSE; NON-INFRINGEMENT; TITLE; ACCURACY OR COMPLETENESS; AND QUIET ENJOYMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free; that defects will be corrected; or that the Services or any server that makes them available are free of viruses or other harmful components. You use the Services at your own risk.

This paragraph shall survive termination of this Agreement.

18. General Representation and Warranty

You represent and warrant that at all times you shall be in compliance with this Agreement and all applicable laws and regulations as a precondition to your use of the Services, and that you will not infringe or violate the rights of any third party, including intellectual property, privacy, or other proprietary rights.

This paragraph shall survive termination of this Agreement.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERSONOMICS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IF, NOTWITHSTANDING THE OTHER PROVISIONS OF THIS AGREEMENT, PERSONOMICS IS FOUND TO BE LIABLE TO YOU FOR ANY DAMAGE OR LOSS ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF THE SERVICES, PERSONOMICS' TOTAL AGGREGATE LIABILITY SHALL IN NO EVENT EXCEED THE GREATER OF: THE AMOUNT YOU PAID TO PERSONOMICS IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM; OR US $100.00.

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION/LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, SOME OF THE ABOVE DISCLAIMERS AND LIMITATIONS MAY NOT APPLY TO YOU.

This paragraph shall survive termination of this Agreement.

20. Indemnification

You agree to indemnify, defend, and hold harmless Personomics and its affiliates, officers, directors, employees, agents, and representatives from and against any and all:

Claims, demands, actions, or proceedings

Losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees)

arising out of or related to:

Your use of the Services

Your violation of this Agreement or any applicable law

Your violation of any third-party rights; or

Your reliance on lab results or coaching content without consultation with a licensed healthcare provider

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses.

This paragraph shall survive termination of this Agreement.

21. Miscellaneous

21.1 Entire Agreement

This Agreement, together with our Privacy Policy, HIPAA Notice of Privacy Practices, Consumer Health Data Privacy Policy, Lab & Diagnostic Consent Form, and any additional terms that may apply to specific programs or offers, constitutes the entire agreement between you and Personomics regarding the Services.

21.2 Governing Law; Venue; Arbitration

Except to the extent prohibited by applicable law:

This Agreement and your use of the Services are governed by the laws of the State of Florida, without regard to its conflict-of-law principles.

Any dispute arising under or in connection with this Agreement that cannot be resolved informally will be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, with proceedings conducted in English in Jupiter, Florida or via videoconference.

You and Personomics agree to:

-Waive any right to a jury trial; and bring claims only in your individual capacity, waiving all rights to bring claims as a plaintiff or class member in any class or representative action.

-To initiate arbitration, send written notice to [email protected].

Nothing in this section prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction where necessary to prevent irreparable harm.

21.3 Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining portions of the Agreement will be enforced to the maximum extent permissible in accordance with applicable law and shall otherwise remain in full force and effect.

21.4 Waiver

No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and Personomics' failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.

21.5 Assignment

You may not assign or transfer this Agreement, by operation of law or otherwise, without our prior written consent. Personomics may assign or transfer this Agreement without restriction.

22. Treatment of Personal Information

For information on how Personomics collects, uses, and shares personal information, including in connection with website cookies, technical data, and similar technologies, please see our Privacy Policy at personomics.io/privacypolicy.

For information on how we handle your Protected Health Information (PHI) in connection with health coaching and lab services, please see our HIPAA Notice of Privacy Practices at personomics.io/hipaa-consent.

For information on your rights as a resident of California, Colorado, Connecticut, Nevada, or other states with consumer health data laws, please see our Consumer Health Data Privacy Policy at personomics.io/consumer-health-data privacy.

If applicable, we may also provide a supplemental notice or policy for residents of certain U.S. states or other jurisdictions with consumer privacy or consumer health data laws.

23. Business Transfers

If Personomics, or substantially all of its assets, is acquired by a third party, or in the unlikely event that Personomics ceases operations, user information — including health and coaching data — may be among the assets transferred. You acknowledge that such transfers may occur and that any transferee may access and use your personal information as set forth in this Agreement and our Privacy Policy.

24. Integration of Third-Party Platforms, Services & AI Tools

The Services may integrate or interact with third-party platforms, tools, and services (such as payment processors, scheduling tools, messaging platforms, analytics tools, and AI-powered chatbots or coaching tools).

We are not responsible for the content, policies, or practices of third-party services, or how third parties collect, use, or share your information.

We may also use AI-powered tools (for example, to assist with coaching support, health insights, or customer service). These tools may analyze your communications and health data to help us respond more efficiently and deliver more personalized coaching, consistent with our Privacy Policy and HIPAA Notice of Privacy Practices.

Please review the privacy policies of any third-party services you interact with through the Services.

25. Mobile Messaging Program Terms

If you opt in to receive text messages from Personomics (such as reminders, alerts, or promotional messages):

You consent to receive recurring SMS or MMS messages at the phone number you provided

Message and data rates may apply

Message frequency may vary

You may opt out at any time by replying STOP to a message or following the instructions provided in our Privacy Policy or the message itself.

Opting out of marketing messages will not necessarily stop transactional messages (such as messages related to your orders, lab kit status, appointments, or account security), where they are intended solely to provide Services you have requested.

26. Affiliate Disclosure

The Services may contain links to third-party products, services, or resources for which Personomics may receive an affiliate commission when you click a link or make a purchase.

Any such affiliate relationships:

Do not influence the recommendations, content, or information provided through the Services

Do not increase the cost of any product or service to you; and

Are disclosed in accordance with the Federal Trade Commission's guidelines on endorsements and testimonials

Personomics only promotes or references products or services that we believe may provide value to users. However, any purchase you make through third-party sites is made directly with the third party, and Personomics is not responsible for the quality, performance, or safety of any third-party product or service; any transactions you enter into with third parties; or any representations, warranties, or policies of such third parties.

Your use of third-party products, services, or websites is at your own risk and is governed by the terms and policies of those third parties.
